Terms of Use

Effective: September 8, 2025

These Terms of Use ("Terms") govern your access to and use of Cuoroom, a social event platform designed to connect single people through curated experiences ("Service"), provided to you by Cuoroom Inc. ("we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use Cuoroom.

ARBITRATION NOTICE: YOU AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. We explain some exceptions and how you can opt out of arbitration below.

1. The Cuoroom Service

We agree to provide you with the Cuoroom Service. The Service includes all of the Cuoroom products, features, applications, services, technologies, and software that we provide to advance Cuoroom's mission: To bring you closer to the people and things you love through events. The Service is made up of the following aspects:

Offering personalized opportunities to create, connect, communicate, discover and share. People are different. So we offer you different types of events and features to help you create, find, join and share in experiences that matter to you. Part of that is highlighting content, features, offers and events that you might be interested in, and offering ways for you to experience Cuoroom, based on things that you and others do on and off Cuoroom.

Key features include:

  • Creating and joining public or private events
  • Viewing guest lists, sorted by preferences like gender and relationship status
  • Liking attendees, generating mutual like stats, and engaging in private or event-based messaging
  • Hosting events as verified Organizations with venue-locking features
  • Participating in a coin-based system to pay for or access events
  • Using location-based services for event recommendations
  • Access to leaderboards, mutual likes, and profile analytics

You must use the Service responsibly and in accordance with our rules.

2. Eligibility

You may use Cuoroom only if you:

  • Are at least 18 years old
  • Have not been previously suspended or removed from our platform
  • Are not prohibited from using our Service under applicable law

3. User Commitments

In return for our commitment to provide the Service, we require you to make the below commitments to us.

Who can use Cuoroom. We want our Service to be as open and inclusive as possible, but we also want it to be safe, secure, and in accordance with the law. So, we need you to commit to a few restrictions in order to be part of the Cuoroom community.

You agree to:

  • Provide accurate registration information and keep it updated
  • Use the platform only for lawful, respectful, and honest purposes
  • Respect the privacy and consent of other users
  • Not use the Service for solicitation, harassment, impersonation, or unauthorized data collection

Prohibited actions include:

  • Impersonating another person or entity
  • Posting or sharing harmful, illegal, or copyrighted material without permission
  • Attempting to reverse-engineer, scrape, or disrupt our systems

Zero Tolerance Policy: Cuoroom has zero tolerance for objectionable content, abusive behavior, harassment, hate speech, or users who violate these terms. Any violation will result in immediate account suspension or permanent termination without warning. We actively monitor and remove objectionable content within 24 hours of being reported.

4. Your Content & Permissions

You own the content you create and share on Cuoroom, and nothing in these Terms takes away the rights you have to your own content. You are free to share your content with anyone else, wherever you want.

However, to provide our services, we need you to give us some legal permissions (known as a "license") to use that content. This is solely for the purposes of providing and improving our products and services.

Specifically, when you share, post, or upload content that is covered by intellectual property rights on or in connection with our Products, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, and worldwide license to host, use, distribute, modify, run, copy, publicly perform or display, translate, and create derivative works of your content (consistent with your privacy and application settings).

5. Messaging & Notifications

Connecting with others. We know it's important for you to have control over who you communicate with. That's why we give you tools to control your Cuoroom experience.

  • Direct messaging is available only between friends or mutual likes
  • Event chats are available to confirmed attendees
  • Cuoroom may send you notifications related to friend requests, mutual likes, event invitations, and messages

6. Paid Services

Some of our Products are paid Products. Before you pay, you will have an opportunity to review and accept the terms that will govern your paid Product. Unless otherwise stated, all prices are stated in U.S. dollars.

Some features require subscribing to premium plans (Plus, Pro, Max) to:

  • Create or attend paid events
  • Access additional features and analytics

All purchases are subject to Apple's in-app purchase policies and terms.

Refunds & Cancellations

All ticket purchases are final and non-refundable unless required by applicable law. Event hosts retain sole discretion regarding refund policies for their events. Refund requests must be directed to the event host, not Cuoroom. Cuoroom serves as a transaction facilitator and does not guarantee or process refunds except where legally mandated.

In cases where local consumer protection laws require refunds, users may contact support@cuoroom.com with proof of purchase and relevant legal documentation. Event cancellations by hosts do not automatically guarantee refunds unless the host's stated refund policy indicates otherwise.

7. Account Suspension & Content Removal

We may suspend or terminate your account or remove any content if:

  • You violate these Terms or applicable law
  • You engage in behavior that harms the integrity or reputation of the platform
  • We are required by legal or regulatory authorities

8. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information when you use our Products. By using our Products, you agree that Cuoroom can use such data in accordance with our privacy policies.

9. Intellectual Property

We own the rights to all Cuoroom branding, designs, features, and software. You may not:

  • Reproduce or modify our platform or code
  • Use our trademarks without written permission
  • Develop derivatives or competing products based on Cuoroom

10. Disclaimers & Limitations

Cuoroom is provided “as is” without warranties of any kind. We do not guarantee that:

  • The Service will be uninterrupted or error-free
  • Events or attendees will meet your expectations
  • Your use of the app will lead to social, romantic, or financial success

We are not liable for any:

  • Indirect, incidental, or punitive damages
  • Loss of data, profit, reputation, or event outcomes

Our total liability is capped at $50 or the amount paid to us in the past 12 months, whichever is higher.

11. Arbitration Agreement

By using Cuoroom, you agree to resolve any disputes with us through binding, individual arbitration, not court. Class actions and jury trials are waived.

You may opt out of this provision within 30 days by contacting us at: support@cuoroom.com.

Small claims and intellectual property disputes may proceed in court in Miami, Florida, under Florida state law.

12. Modifications

We may update these Terms periodically. When we do, we will notify you via the app. Continuing to use Cuoroom after updates means you agree to the revised Terms.

13. Feedback & Suggestions

If you provide feedback, you grant us full rights to use it without compensation or confidentiality obligations.

15. Apple-Specific Terms (iOS App Users Only)

The following terms apply specifically to users who download Cuoroom from the Apple App Store:

a) Acknowledgement: This End-User License Agreement (EULA) is concluded between you and Cuoroom Inc. only, and not with Apple. Cuoroom, not Apple, is solely responsible for the Cuoroom app and its content. This EULA may not provide for usage rules that conflict with the Apple Media Services Terms and Conditions.

b) Scope of License: The license granted to you for Cuoroom is limited to a non-transferable license to use the application on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions. The app may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.

c) Maintenance and Support: Cuoroom is solely responsible for providing maintenance and support services for the app. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to Cuoroom.

d) Warranty: Cuoroom is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of Cuoroom to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the app (if any) to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to Cuoroom, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Cuoroom's sole responsibility.

e) Product Claims: Cuoroom, not Apple, is responsible for addressing any claims by you or any third party relating to the app or your possession and/or use of the app, including: (i) product liability claims; (ii) any claim that the app fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation. This EULA does not limit Cuoroom's liability to you beyond what is permitted by applicable law.

f) Intellectual Property Rights: In the event of any third-party claim that Cuoroom or your possession and use of the app infringes that third party's intellectual property rights, Cuoroom, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

g) Legal Compliance: You represent and warrant that: (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

h) Third Party Terms: If the app includes or utilizes any third-party software, you must comply with applicable third-party terms of agreement when using the app. You must not be in violation of your wireless data service agreement when using the app.

i) Third Party Beneficiary: You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.
